MISSION AND GOALS

The mission of the Tennessee River Fine Arts League is as follows:
1. To operate as a cultural cooperative of artisans in the area of the Northern part of the Tennessee River Basin.
2. To promote artistic creativity and appreciation of the arts in the community.
3. To serve as an educational facility for the arts.
4. To provide a venue for rotating exhibits, lectures, classes, and studio time.

The TRFAL is organized exclusively for charitable and educational purposes as required by Sec. 501 (c)(3) of the Internal Revenue Code of 1986, or the corresponding section of any future federal tax code.

BYLAWS OF THE LEAGUE

Article I. Offices

1. The TRFAL will meet at the Robert E. Lee School, 402 Lee Street, Paris, TN 38242.

Article II. Membership

1. Membership is open to both amateur and professional artists, and patrons of the Arts.

2. Annual dues for membership will be Thirty dollars ($30.00) per person or Forty-five ($45.00) per family.

Article III. Officers and Duties
1. Eligibility
No member shall be eligible for office until he or she has been a member for at least 6 (six) months.

2. Description of Officers and their duties

A. The President
Shall preside at all meetings and serve as ex-officio member of all committees. Between meetings the president shall have the authority to represent the League and act in its name subject to its declared policies and objectives.

B. The Vice-President
Shall preside in the absence of the president and assume all the duties of the president.

C. The Secretary
Shall take accurate and complete minutes of all membership meetings, and shall submit said minutes for approval or corrections at each meeting. These minutes will be bound in the official Records of the League. The secretary shall keep attendance records of the meetings. The secretary shall be responsible for "good will" correspondence.

D. The Treasurer
Shall receive all money on behalf of the League, including dues and contributions, and shall keep an accurate record at all times of such receipts and expenditures as are part of the financial affairs of the League. Expenditures on behalf of the League will be made by check signed by the treasurer or the president. The treasurer shall be prepared to render a report at each regular meeting of the status of the League’s funds. He or she shall mail notification to members regarding dues in May, and keep a record of paid members.


3. Special provisions
Should any elected office become vacated prior to the annual election of said officers, said office shall be filled by a vote of the Executive Board pending the annual election.


Article IV. Nominating and Election Procedures
1. A nominating committee shall be appointed at a regular meeting prior to the election meeting of each year by the president, and this committee shall present a suggested slate of officers for the coming year. Such slate, with any additional nominations from the floor, shall be voted upon at the regular meeting in June. A majority vote of members present will be required for election.

2. Tenure of Office
All elective officers shall hold office for a period of one year, commencing immediately upon their election at the June Meeting.

Article V. Meetings
The TRFAL will have a monthly meeting.

Article VI. Fiscal Year
The fiscal year will run from July 1, to June 31 each calendar year

Article VII. Committees
The Executive Board may create committees as needed.

Article VIII. Amendments
These bylaws may be amended when necessary by a two-thirds majority of the membership present at the monthly meetings .
These changes will be presented at any two consecutive monthly meetings and then voted on by the membership.
